These Terms & Conditions ('Terms') govern your access to and use of Fieliq, a subscription software service that helps landscaping and outdoor-services businesses generate, edit, and deliver customer proposals with the help of artificial intelligence.

1. Who you are contracting with

Fieliq is operated by Fieliq Inc. ("Fieliq", "we", "us", "our"), a company organized in the United States. By creating an account or using the service you enter into a binding agreement with Fieliq Inc.

If you accept these Terms on behalf of a company, you confirm you have authority to bind that company. If you are using Fieliq as an individual, you confirm you are at least 18 years old.

2. Acceptance of these Terms

By registering for an account, accessing the service, or continuing to use Fieliq after we publish an updated version of these Terms, you agree to be bound by them. If you do not agree, you must stop using the service.

3. The service

Fieliq lets you describe a job, a customer, and your pricing assumptions, and then produces a draft proposal — an executive summary, itemized scope, optional upsells, and matching email and SMS copy — which you can edit, export to PDF, and send to your customer. Feature availability depends on your subscription plan.

4. Your account

  • You must provide accurate registration information and keep it current.
  • You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
  • Notify us promptly at support@fieliq.com if you suspect unauthorized access.

5. Acceptable use

You must not misuse the service. In particular, you must not:

  • use Fieliq for any unlawful, fraudulent, deceptive, or spam-related purpose;
  • infringe anyone's intellectual property, privacy, publicity, or other rights, including by uploading content you do not have the right to use;
  • interfere with the security or integrity of the service — no malware, probing, scanning, penetration testing, scraping, or circumvention of technical or plan limits;
  • reverse engineer, decompile, resell, sublicense, or redistribute the service;
  • upload sensitive categories of data (for example health, financial account, or government identification numbers) that are not needed to prepare a landscaping proposal.

6. Your content and ownership

You own the information you submit to Fieliq — customer details, job notes, pricing, logos, and the proposals you produce. We claim no ownership over it.

You grant Fieliq a limited, non-exclusive license to host, store, process, transmit, and display your content solely to operate and support the service, including sending it to our AI processing providers to generate or edit a proposal on your instruction. This license ends when you delete the content or close your account, subject to routine backup cycles.

You are responsible for having the right to submit any customer information you enter, and for handling your customers' personal information in line with applicable law.

7. AI-generated content

Fieliq uses generative AI. AI output can be inaccurate, incomplete, outdated, or inappropriate for a specific site or jurisdiction. Pricing, quantities, materials, timelines, warranties, and regulatory statements produced by the AI are drafts, not professional estimates.

You must review and verify every AI-generated proposal, email, or message before sending it to a customer or relying on it commercially. You remain solely responsible for the content you send under your business name and for any contract you enter into with your customer.

You are responsible for your prompts and inputs. As between you and Fieliq, you own the proposal output generated from your inputs, to the extent such output is capable of ownership. Similar or identical output may be generated for other users from similar inputs.

We may filter, refuse, or restrict output, and remove content or suspend accounts, where we reasonably believe these Terms have been violated. If you believe content generated or hosted on Fieliq infringes your rights, contact support@fieliq.com with details and we will investigate and act, including terminating repeat infringers.

8. Subscriptions, payment, and billing

Fieliq is a subscription service billed on a recurring monthly basis, with a free tier that includes a limited monthly allowance. Paid plans renew automatically until cancelled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payments are processed securely by Paddle; Fieliq does not store your card details.

Payment, billing, tax, currency, invoicing, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Prices are exclusive of applicable sales tax or VAT, which Paddle calculates and collects where required.

You may cancel your subscription at any time from the billing portal inside your Fieliq account. Cancellation takes effect at the end of the current billing period; you keep paid features until then and are not charged again. Refunds are handled under our Refund Policy.

If a payment fails, we may retry the charge and may downgrade or suspend paid features until payment succeeds.

9. Our intellectual property

Fieliq retains all right, title, and interest in the service, including the software, models and prompt systems we build, documentation, user interface, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your selected plan for the duration of your subscription.

10. Service availability

We work to keep Fieliq available and reliable, but we do not guarantee uninterrupted or error-free performance. The service may be unavailable during maintenance, third-party outages (including AI providers), or events outside our reasonable control. Features may change, improve, or be retired over time.

11. Warranties and disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available", and we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Fieliq does not provide legal, tax, horticultural, engineering, or professional estimating advice.

12. Limitation of liability

To the fullest extent permitted by law, Fieliq is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, lost business, or loss of goodwill — including losses arising from a proposal, quote, or message generated with the service.

Our total aggregate liability arising out of or relating to the service is limited to the amount you paid to Fieliq (through Paddle) in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify and hold Fieliq harmless from claims, damages, and reasonable costs arising from your content, your use of AI output, your agreements with your customers, your unlawful use of the service, or your breach of these Terms.

14. Suspension and termination

We may suspend or terminate access where there is a material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using Fieliq and close your account at any time.

On termination, your right to use the service ends. You may export your proposals as PDFs before closing your account; after closure we delete or anonymize your account data in line with our Privacy Policy.

15. Changes to these Terms

We may update these Terms to reflect changes to the service or the law. Material changes will be announced in-app or by email before they take effect. Continued use after the effective date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief where necessary to protect its intellectual property.

17. General

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If a provision is found unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control.
